Terms of Service
Published 1 November 2026.
Effective Date: 1 November 2026
1. Acceptance of Terms
By accessing, registering for, or using the hi.Malta platform (the "Platform"), you unconditionally agree to be bound by these Terms of Service ("Terms"). If you do not agree to any part of these Terms, you must immediately stop using the Platform. hi.Malta may modify these Terms at any time, at its sole discretion, and with or without notice. Your continued use of the Platform after any modification constitutes your binding acceptance of the updated Terms.
2. Nature of the Platform — Important Notice
hi.Malta operates solely as a technology platform that enables event organisers ("Organisers") to list events and sell tickets, and enables ticket purchasers ("Customers") to discover and buy those tickets. hi.Malta is NOT:
- the seller, producer, promoter, owner, or host of any event or ticket;
- a party to any contract between an Organiser and a Customer;
- a fiduciary, agent, guarantor, insurer, or broker for any user;
- responsible for the performance, cancellation, quality, safety, legality, or content of any event;
- responsible for any Organiser's conduct, solvency, or compliance with applicable law.
All contractual obligations relating to the event, ticket, admission, and any refund arising from the sale of tickets are solely and exclusively between the Customer and the Organiser. hi.Malta's role is limited to providing the technology that facilitates such transactions. Any and all disputes arising out of or relating to an event or a ticket must be resolved directly between the Customer and the Organiser.
3. User Accounts
3.1 Registration
Customers generally do not need to register an account to purchase a ticket; a guest checkout is provided, and order details are delivered by email. Organisers (and certain Organiser staff) must register for an account in order to list events and access Organiser tools. Where you do register, you must provide accurate, current, and complete information and keep it up to date. Providing false, misleading, impersonated, or incomplete information is a material breach of these Terms and may result in immediate suspension or termination of your account, voiding of tickets, and forfeiture of any amounts otherwise owed to you.
3.2 Account Security
You are solely responsible for safeguarding your account credentials and for all activity that occurs under your account, whether or not authorised by you. hi.Malta is not liable for any loss or damage arising from unauthorised access to your account. You must notify us immediately of any actual or suspected unauthorised access.
3.3 Account Suspension and Termination
hi.Malta may, at its sole and absolute discretion and without notice or liability, suspend, restrict, or terminate any account at any time and for any reason, including but not limited to suspected fraud, chargeback abuse, violation of these Terms, risk to the Platform or its users, or for no reason at all. Upon termination, any pending payouts, refund obligations, or ticket validity are governed by these Terms and by the Organiser's own policies, as applicable.
4. Ticket Purchases
4.1 Purchase Process
When you purchase a ticket through the Platform, you are entering into a contract directly with the Organiser. hi.Malta is not a party to that contract. hi.Malta merely facilitates the transaction through its technology and, where applicable, through third-party payment processors.
4.2 Pricing, Fees, and Taxes
Ticket prices, taxes, and any event-specific charges are set by the Organiser. hi.Malta and/or its payment partners may add service fees, processing fees, or other platform fees, which will be displayed before checkout. All such fees are earned by hi.Malta at the time of purchase and are non-refundable except where a refund is strictly required by applicable law. Taxes are the sole responsibility of the Organiser.
4.3 Payment
Payment is due in full at the time of purchase and is processed via third-party payment providers. By submitting payment information, you represent and warrant that (a) you are the lawful holder of the payment method or are otherwise authorised to use it, (b) the transaction is not fraudulent, and (c) you have sufficient funds or credit available. You authorise hi.Malta and its payment partners to charge the full order amount, including all taxes and fees.
4.4 Order Confirmation
Upon successful payment, you will receive an order confirmation and your ticket(s) via email or through your account. You are solely responsible for providing a valid email address and for retrieving your tickets. hi.Malta is not liable for tickets not received due to incorrect contact details, spam filtering, or similar issues attributable to you or your email provider.
4.5 Order Limits and Cancellation
hi.Malta and Organisers may impose limits on the number of tickets per person, per account, or per payment method. hi.Malta reserves the right to cancel, void, or refuse any order at any time and for any reason, including suspected fraud, abuse, resale, or violation of these Terms, with or without notice.
5. Ticket Usage and Restrictions
5.1 Revocable Licence
A ticket is a revocable licence to attend the specified event on the terms set by the Organiser. The Organiser may refuse admission or remove any attendee whose conduct it deems unacceptable, in its sole discretion.
5.2 No Unauthorised Resale
Tickets may not be resold, transferred, bartered, auctioned, or offered commercially without the Organiser's prior written consent. Tickets obtained from unauthorised sources may be voided at any time, without refund, and the holder may be denied admission.
5.3 Transfers
Tickets are personal to the original Customer. hi.Malta does not offer a general-purpose ticket transfer service. Any transfer, reassignment, or change of attendee details is at the Organiser's sole discretion and must be arranged directly with the Organiser. Unauthorised transfers are not recognised, and hi.Malta and the Organiser may void the affected tickets without refund.
6. Refunds — hi.Malta's Role
6.1 Refund Obligations Lie With the Organiser
All refund obligations — including, without limitation, refunds for event cancellation, postponement, rescheduling, failure to deliver, misrepresentation, change of mind, force majeure, fraud, duplicate charges, or any other cause — lie exclusively with the Organiser, who is the merchant of record for the ticket sale. hi.Malta does not guarantee, underwrite, or fund refunds of any kind.
6.2 Facilitation Only
Where an Organiser instructs hi.Malta to process a refund, and funds are available and authorised, hi.Malta may facilitate the refund through its payment partners as a technical service. hi.Malta is not obliged to advance funds, to compel the Organiser to refund, or to accept liability if the Organiser fails, refuses, or is unable to fund a refund.
6.3 Platform Fees Non-Refundable
All hi.Malta service fees, platform fees, and payment processing fees are earned at the time of the transaction and are non-refundable in all circumstances, except where a refund of such fees is strictly required by applicable mandatory law.
6.4 No Refunds for Fraud
hi.Malta does not offer, fund, or guarantee refunds in respect of any fraudulent, unauthorised, disputed, or suspect transaction, including but not limited to (i) tickets sold by an Organiser and alleged by the Customer to be fraudulent, (ii) tickets purchased using a stolen, unauthorised, or compromised payment method, (iii) identity theft, phishing, social engineering, or account takeover, or (iv) any other fraudulent act or omission by a Customer, Organiser, or third party. Any recourse in respect of such matters lies between the Customer, the Organiser, and the Customer's bank, card issuer, or payment provider. The Customer's sole remedy for a fraudulent transaction is to pursue the Organiser directly and/or to raise the matter with their payment provider.
6.5 No Buyer's Remorse
All ticket sales are final. hi.Malta does not refund for change of mind, inability to attend, travel issues, weather, scheduling conflicts, or failure to read event details.
7. Chargebacks and Payment Disputes
Before initiating a chargeback or payment dispute with your bank or card issuer, you must first attempt to resolve the matter with the Organiser and, if unresolved, with hi.Malta support. Initiating a chargeback without first doing so is a material breach of these Terms. hi.Malta reserves the right, without limitation, to:
- suspend or terminate your account;
- void any associated tickets without refund;
- recover from you any chargeback fees, reversal fees, investigation costs, legal costs, and lost platform fees; and
- refer suspected fraudulent chargebacks to law enforcement and to credit reporting or fraud prevention agencies.
Fraudulent or abusive chargebacks may result in permanent account termination and civil or criminal action.
8. Organiser Responsibilities
Organisers using the Platform represent, warrant, and agree, on a continuing basis, that they will:
- act as the seller and merchant of record for all ticket sales;
- provide accurate, lawful, and non-misleading event and ticket information;
- hold all necessary licences, permits, insurances, rights, and authorisations to run the event and sell the tickets;
- comply with all applicable laws and regulations, including consumer protection, tax, data protection, and anti-fraud laws;
- handle all customer service, complaints, disputes, and refund obligations in respect of their events;
- promptly fund and process any refunds they are obliged to make under their policies or applicable law;
- not list events that are illegal, fraudulent, misleading, or harmful;
- ensure event safety, security, and accessibility for attendees; and
- indemnify hi.Malta against any claim arising from their event or conduct, as set out in Section 11.
Organisers acknowledge and agree that hi.Malta has no obligation to monitor, screen, verify, or approve events, content, or Organisers, and that any pre-sale checks are discretionary and do not create any liability on the part of hi.Malta.
9. Prohibited Conduct
You must not, directly or indirectly:
- use the Platform for any unlawful, fraudulent, or deceptive purpose;
- provide false, misleading, stolen, or impersonated information;
- use stolen, unauthorised, or compromised payment methods;
- attempt to obtain refunds, chargebacks, or tickets to which you are not entitled;
- attempt to gain unauthorised access to the Platform, other accounts, or any system;
- use bots, scripts, scrapers, or any automated means to access the Platform, acquire tickets, or manipulate pricing;
- resell or attempt to resell tickets in violation of these Terms or the Organiser's conditions;
- introduce malicious code or attempt to disrupt Platform operations;
- harass, threaten, defame, or harm other users, Organisers, or hi.Malta staff;
- infringe any intellectual property, privacy, or proprietary right;
- scrape, copy, reproduce, or exploit Platform content without express written permission;
- circumvent or attempt to circumvent any security, rate-limiting, or anti-fraud measure.
Any breach of this Section 9 is a material breach entitling hi.Malta to suspend or terminate your account without notice and without liability, and to pursue all available civil and criminal remedies.
10. Disclaimers and Limitation of Liability
10.1 Platform Provided "As Is"
THE PLATFORM, ALL CONTENT, AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, NON-INFRINGEMENT, AVAILABILITY, UNINTERRUPTED OPERATION, OR ERROR-FREE OPERATION. hi.Malta DOES NOT WARRANT THAT ANY EVENT WILL TAKE PLACE, THAT ANY TICKET WILL BE HONOURED, OR THAT ANY ORGANISER WILL PERFORM ITS OBLIGATIONS.
10.2 No Liability for Events, Organisers, Customers, or Third Parties
hi.Malta has no liability whatsoever for (i) any act or omission of an Organiser, Customer, or any third party; (ii) the cancellation, postponement, rescheduling, quality, safety, content, lawfulness, or conduct of any event; (iii) any failure by an Organiser to deliver a ticket, admit an attendee, or issue a refund; (iv) any fraudulent, unauthorised, or disputed transaction; (v) any loss, injury, damage, or expense suffered in connection with attending or attempting to attend an event; or (vi) any conduct of third-party payment processors, banks, or card issuers.
10.3 Exclusion of Indirect Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, hi.Malta, ITS AFFILIATES, AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS, LOSS OF DATA, LOSS OF GOODWILL, OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.4 Aggregate Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, hi.Malta's TOTAL AGGREGATE LIABILITY TO YOU UNDER OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR OTHERWISE, SHALL NOT EXCEED THE LESSER OF (A) THE SERVICE FEES ACTUALLY PAID BY YOU TO hi.Malta (EXCLUDING TICKET PRICE AND TAXES) IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) EUR 100. THIS CAP APPLIES IN AGGREGATE TO ALL CLAIMS BY YOU.
10.5 Statutory Rights
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable mandatory law (including consumer protection laws where applicable). Where any limitation or exclusion is held to be unenforceable, it shall be reduced to the minimum extent necessary to make it enforceable while preserving the remainder of these Terms.
10.6 Force Majeure
hi.Malta is not liable for any delay, failure, or non-performance caused by circumstances beyond its reasonable control, including without limitation acts of God, natural disasters, pandemics, epidemics, public health measures, war, terrorism, civil unrest, government action, strikes, labour disputes, outages, attacks on infrastructure, or failure of third-party services, networks, or payment processors.
11. Indemnification
You agree to defend, indemnify, and hold harmless hi.Malta, its affiliates, and their respective directors, officers, employees, agents, and licensors from and against any and all claims, demands, actions, proceedings, liabilities, damages, losses, fines, penalties, costs, and expenses (including reasonable legal fees on a full indemnity basis) arising out of or related to: (a) your access to or use of the Platform; (b) your breach of these Terms or any applicable law; (c) your infringement of any right of any third party; (d) any event you organise or attend; (e) any ticket you sell, buy, transfer, or use; (f) any dispute between you and another user or third party; or (g) any fraudulent, unauthorised, or disputed transaction involving your account. hi.Malta may, at its option, assume the exclusive defence and control of any matter subject to indemnification, at your expense.
12. Dispute Resolution
12.1 Governing Law
These Terms and any dispute arising out of or in connection with them, the Platform, or your use of the Platform (whether contractual or non-contractual) are governed by the laws of Malta, without regard to its conflict of laws principles.
12.2 Jurisdiction
Subject to Section 12.3, the courts of Malta have exclusive jurisdiction to settle any such dispute.
12.3 Arbitration; Waiver of Class Actions
At hi.Malta's election, any dispute may be referred to final and binding arbitration seated in Malta, conducted in English, in accordance with the Malta Arbitration Act and the rules of the Malta Arbitration Centre. You irrevocably waive, to the maximum extent permitted by law, any right to participate in class, collective, or representative actions against hi.Malta, and agree that disputes may be brought only in your individual capacity.
12.4 Time Bar
Any claim you may have against hi.Malta must be brought within twelve (12) months from the date on which the cause of action arose, failing which it is irrevocably barred, except where a longer period is mandated by applicable law.
12.5 Equitable Relief
Notwithstanding the above, hi.Malta may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, or Platform.
13. Intellectual Property
All Platform content, software, designs, marks, and other materials are owned by hi.Malta or its licensors and are protected by intellectual property laws. You are granted a limited, revocable, non-exclusive, non-transferable licence to access and use the Platform for its intended purpose. You may not reproduce, distribute, modify, reverse-engineer, or create derivative works without hi.Malta's prior written consent.
14. General Provisions
14.1 Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, Refund Policy, and any other policies referenced herein, constitute the entire agreement between you and hi.Malta and supersede all prior agreements and understandings on their subject matter.
14.2 Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be replaced by a valid provision that most closely reflects its original intent.
14.3 No Waiver
No failure or delay by hi.Malta to exercise any right under these Terms operates as a waiver of that right. Any waiver must be in writing and signed by an authorised representative of hi.Malta.
14.4 Assignment
You may not assign, sub-license, or transfer these Terms or any of your rights or obligations under them. hi.Malta may freely assign or novate these Terms, in whole or in part, without your consent.
14.5 No Agency
Nothing in these Terms creates any partnership, joint venture, agency, fiduciary, or employment relationship between you and hi.Malta.
14.6 Electronic Communications
You consent to receive communications from hi.Malta electronically. Notices and disclosures sent by email or posted on the Platform satisfy any legal requirement that such communications be in writing.
14.7 Language
These Terms may be translated for convenience. In the event of any discrepancy, the English version prevails.
